We are delighted to announce the completion of Project Columbus, as Leyland Capital has advised a UK group company on the sale of its US subsidiary to a US Family Office. The transaction completed on 26th September 2026.

Project Columbus is an undisclosed transaction. The US subsidiary is a company involved in marketing, and the details of the business, the parties and the transaction remain confidential, to maintain the company’s long-standing customer relationships.

Leyland Capital acted as M&A advisor to the UK group from Heads of Terms through to completion, providing working capital analysis, a commercial review of the Sale and Purchase Agreement (SPA), and negotiating and managing a completion process and mechanism that both sides were satisfied with. We are also assisting the Group with the completion accounts following the transaction.

The sale raises an element of capital for the Group to deploy into upcoming projects and growth opportunities, while allowing the acquirer to focus on its core offering and continue its growth across the US market.

The sale of our US subsidiary was an intense process over a short period of time, with long hours spent working across the time difference with the US. Leyland Capital supported us from Heads of Terms through to completion and, from the working capital analysis to agreeing the completion mechanism, Christian gave us clear, commercial advice at every stage and kept the process moving. The transaction provides the Group with capital to invest in our upcoming projects and growth plans, and we are grateful for Leyland Capital’s continued support as we finalise the completion accounts.
